Terms of Service


JAG-LOGiC Inc.

Please read these Terms of Service (“Terms”) carefully before using the services and software provided by JAG-LOGiC Inc. (“we,” “us,” or “our”).


Agreement to Terms

By accessing or using our services, platforms, or software, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you may not access or use our services.


Scope of Services

JAG-LOGiC Inc. provides digital marketing, CRM systems, automation, software access, website design, consulting, operational tools, licensing, and related business services, including but not limited to OPSLOGIC and affiliated software platforms.


Use of Software at Your Own Risk

All software, platforms, tools, and systems provided or facilitated by JAG-LOGiC Inc., including OPSLOGIC, are used entirely at the user’s own risk.

You acknowledge and agree that:

  • Software performance, availability, uptime, compatibility, and results are not guaranteed
  • Software may be subject to limitations, changes, outages, updates, third-party dependencies, or regulatory constraints
  • JAG-LOGiC Inc. does not guarantee that software will meet your specific business needs or operational requirements

You assume full responsibility for:

  • Data usage, configuration decisions, integrations, compliance, and outcomes
  • Any business impact, loss of data, loss of revenue, or operational disruption resulting from use of the software

Use of OPSLOGIC or any other software does not constitute a guarantee of results, performance, or fitness for a particular purpose.


Payments, Access, and Refund Policy

All fees paid to JAG-LOGiC Inc. are non-refundable, except as expressly stated below.

Billing is considered valid, earned, and fulfilled once access to software, platforms, systems, or services is granted. Access constitutes delivery, regardless of actual usage or engagement.


No Refunds (General Rule)

Due to the nature of digital services, software access, automation, consulting, licensing, and custom work:

  • No refunds are provided for setup fees, onboarding, configuration, implementation, consulting, custom builds, licensing, or third-party costs
  • Dissatisfaction with results, failure to use the software, changes in business circumstances, or business closure do not constitute grounds for a refund

Agency Cancellation Policy

Agencies, white-label accounts, and enterprise users must provide a minimum of thirty (30) days’ written notice prior to cancellation. Failure to provide proper notice will result in billing for the subsequent period. Access remains active through the end of the paid billing cycle.


Seat-Based User Refund Exception

For seat-based or per-user subscriptions only:

  • Refund requests may be submitted on the billing date or within five (5) calendar days after billing
  • Refunds apply only to unused seat licenses within grace period
  • Approval is subject to verification and issued at the sole discretion of JAG-LOGiC Inc.
  • No refunds will be issued after the five-day window

Intellectual Property

All content, software configurations, workflows, automations, templates, designs, code, documentation, and materials provided by JAG-LOGiC Inc. are the intellectual property of JAG-LOGiC Inc. and protected by applicable intellectual property laws. No ownership rights are transferred.


Third-Party Services

Our services may integrate with or rely on third-party platforms, providers, APIs, or vendors. JAG-LOGiC Inc. is not responsible for third-party availability, outages, changes, pricing, policies, or failures. Third-party issues do not constitute grounds for refunds, credits, or liability.


Disclaimer

All services and software are provided on an “as is” and “as available” basis without warranties of any kind, express or implied. JAG-LOGiC Inc. disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.


Limitation of Liability

To the fullest extent permitted by law, JAG-LOGiC Inc. shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, business interruption, or operational disruption, arising out of or related to the use or inability to use our services or software.


Termination

We reserve the right to suspend or terminate access to services at our discretion, with or without notice, including for violations of these Terms. All outstanding balances remain due upon termination.


Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California.


Changes to Terms

We may modify these Terms at any time. Continued use of services after changes constitutes acceptance of the revised Terms.
